1. Introduction and Service Description

TradeOS ("Platform" or "Service") is a cloud-based software platform designed for trade professionals and service businesses to manage clients, jobs, quotes, invoices, certificates, and related business documentation. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and James Handford trading as TradeOS ("we", "us", or "our").

By accessing, using, or subscribing to TradeOS, you agree to be bound by these Terms in their entirety. If you do not agree with any part of these Terms, you must not use the Platform.

2. Account Responsibilities

You are solely responsible for:

Maintaining the confidentiality of your login credentials (username, password, email)
All activities that occur under your account, whether authorized by you or not
Providing accurate, complete, and current information during registration and maintaining this information
Notifying us immediately of any unauthorized access or suspected security breach
Using industry-appropriate security practices (strong passwords, secure devices, regular sign-out)
Ensuring you have the legal right to bind your organization to these Terms

You agree that TradeOS is not responsible for losses resulting from unauthorized account access due to negligence or failure to protect your credentials. You may not share your account with others without express written permission from TradeOS.

3. Acceptable Use Policy

You agree not to use the Platform for any illegal, fraudulent, or abusive purpose. Specifically, you agree not to:

Illegal Activities: Use the Platform for any work, transaction, or activity that is illegal in your jurisdiction or violates applicable laws and regulations
Fraud and Deception: Create false quotes, invoices, or certificates; misrepresent services rendered; or engage in fraudulent billing practices
Automated Scraping: Use bots, scrapers, crawlers, or automated tools to extract data from the Platform without authorization
Reverse Engineering: Attempt to reverse engineer, decompile, disassemble, or derive the source code or underlying technology of the Platform
Platform Abuse: Overload servers, interfere with security features, exploit vulnerabilities, or disrupt service availability for other users
Harassment and Abuse: Use the Platform to harass, threaten, abuse, or discriminate against other users or third parties
Malicious Code: Transmit viruses, malware, ransomware, or any code designed to harm the Platform or user systems
Unauthorized Access: Attempt to gain unauthorized access to restricted areas or other user accounts
Phishing and Social Engineering: Use the Platform for phishing, pretexting, or other deceptive practices
Resale and Redistribution: Resell, redistribute, or sublicense the Platform or its features without authorization
Privacy Violation: Collect or process personal data about other users or third parties without proper consent and in violation of data protection laws

Violations of this Acceptable Use Policy may result in immediate account suspension without notice or refund.

4. Platform Availability and Service Modifications

TradeOS aims to maintain high availability, but does not guarantee uninterrupted or error-free operation. The Platform is provided "as-is" and "as-available".

We reserve the right to:

Modify, update, enhance, or discontinue features of the Platform at any time
Perform scheduled or emergency maintenance that may temporarily interrupt service
Change pricing, subscription plans, or billing terms with 30 days' written notice
Restrict access to certain features based on subscription tier
Update these Terms of Service at any time

We will make reasonable efforts to notify you of material changes. Your continued use of the Platform after such changes constitutes acceptance of the modified Terms.

5. Intellectual Property Rights

All intellectual property in the Platform—including software code, algorithms, user interface design, branding, trademarks, logos, documentation, and underlying technology—is owned by or licensed to James Handford trading as TradeOS and protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Platform solely for your own business purposes in accordance with these Terms. You may not:

Copy, reproduce, modify, or create derivative works of the Platform
Distribute, sublicense, or rent the Platform to third parties
Remove, obscure, or alter any copyright, trademark, or proprietary notices
Use the Platform's branding or trademarks without express written permission

"TradeOS" is a trade mark of James Handford trading as TradeOS. You agree not to register or use any similar names, logos, or marks without our written consent.

You retain ownership of business data you create or upload to the Platform (client information, job details, invoices, certificates, etc.). By uploading such data, you grant TradeOS a worldwide, non-exclusive, royalty-free license to store, process, display, and use that data solely to provide the Platform to you. TradeOS will not sell your business data. We share it only with the service providers that run the Platform for us, as our Privacy Policy explains, or where the law requires it.

6. Limitation of Liability and Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

TradeOS is not liable for:

Loss of profits, revenue, contracts, or business opportunities
Loss, corruption, or misuse of data or documents
Incorrect pricing or calculation errors in quotes, invoices, or certificates
User errors, negligence, or mistakes in data entry or business decisions
Service interruptions, downtime, or unavailability of the Platform
Third-party actions, including unauthorized access by other users
Indirect, incidental, special, consequential, or punitive damages

TradeOS's total liability to you for any claim shall not exceed the amount you have paid to TradeOS in the 12 months preceding the claim.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. TRADEOS DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

YOU USE THE PLATFORM AT YOUR OWN RISK. TradeOS does not warrant that the Platform will meet your requirements, will be secure, or will function without errors.

7. Account Termination and Suspension

TradeOS reserves the right to suspend, restrict, or terminate your account at any time, with or without cause and with or without notice, if:

You violate these Terms of Service or any other TradeOS policy
You engage in illegal, fraudulent, or abusive activity
Your account shows signs of unauthorized use or security compromise
You breach your payment obligations
We are required to do so by law, regulation, or government request
You violate the rights of other users or third parties

Upon termination:

Your right to access and use the Platform ceases immediately
You remain liable for all charges incurred through the termination date
You may ask us to delete your data, as our Privacy Policy explains
No refunds will be issued except where required by law

8. Governing Law and Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles.

You agree to submit to the exclusive jurisdiction of the courts located in England and Wales for any legal action, dispute, or claim arising from or relating to these Terms or the Platform.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
